Terms of Use

By accessing or using Face.it you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. These terms form a binding agreement between you and FaceyIT FZ-LLC (Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, registration [PLACEHOLDER — RAKEZ licence no.]).

You must be at least 18 years old to create an account and to use the Service. Face.it is an adult-only service. You are responsible for the accuracy of the age you attest to at sign-up; providing false age information is a breach of these terms and grounds for immediate account termination.

You must not use the Service on behalf of, or with photos depicting, any person under 18 — regardless of your relationship to that person. See section 4 (Acceptable use).

Service availability. Face.it is not offered to residents of the European Economic Area (EEA), the United Kingdom, or Switzerland. Access from those regions may be blocked. If you access the Service from a region where it is not offered, you do so at your own initiative and remain responsible for compliance with any local law that applies to you.

You agree to provide accurate registration information, keep your credentials secure, and notify us at hello@facey.it of any unauthorised use. You are responsible for all activity that occurs under your account.

You agree not to use the Service to:

• upload, submit, or otherwise process a photograph depicting any person under 18 — regardless of your relationship to that person and regardless of whether you believe the use is benign. This prohibition is absolute; there is no parent, guardian, educator, or family-use exception;
• upload a photograph depicting any other living person without that person's prior, informed, verifiable permission to use their likeness for AI-generated sticker content;
• upload a photograph depicting a public figure (politician, celebrity, athlete, business executive, or any other identifiable public person) without that person's written consent to the specific use;
• upload a photograph depicting a deceased person without the verifiable consent of the person holding publicity or personality rights in that likeness under applicable law;
• generate content that is sexual, violent, defamatory, harassing, threatening, hateful, or that depicts a real person in a degrading or intimate manner;
• represent, caption, or distribute an Output as an authentic photograph or as human-authored work in any context where that distinction is material — including journalism, evidence, political campaigning, or advertising disclosures;
• infringe any copyright, trade mark, publicity right, personality right, or other third-party intellectual-property right;
• circumvent rate limits, access controls, geographic blocks, or any other technical measure that protects the Service;
• use the Service, its Outputs, or its prompts to train, fine-tune, or otherwise develop a competing generative model.

Enforcement. We may remove content, suspend your account, or terminate your access without prior notice for any violation of this section. Serious or repeated violations — in particular the upload of minor faces or unconsented public-figure faces — may also be reported to law-enforcement or the affected rights-holder. You are solely responsible for the lawfulness of the Input you upload.

You retain ownership of the photos you upload ("Input") and the sticker packs generated from them ("Output"). You grant FaceyIT FZ-LLC a limited, non-exclusive, worldwide, royalty-free licence to store, process, transmit, and transform your Input and Output solely for the purpose of operating the Service (including routing the Input through third-party AI providers to produce the Output, and retaining Outputs in your library until you delete them).

Your warranty. You represent and warrant that (a) you have all rights, licences, and permissions necessary to upload the Input and to authorise the processing described above; (b) the Input depicts only you or adults (≥ 18) who have given you prior, informed, verifiable permission to use their likeness for AI-generated sticker content; (c) the Input does not depict any person under 18; and (d) your Input and your use of the Outputs do not and will not infringe, misappropriate, or violate any intellectual-property right, publicity right, privacy right, or other right of any third party.

Indemnification. You agree to defend, indemnify, and hold harmless FaceyIT FZ-LLC, its affiliates, officers, employees, and agents from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (i) any breach by you of the warranties in this section 5; (ii) any breach by you of section 4 (Acceptable use); (iii) any third-party claim concerning your Input or your use of the Outputs; or (iv) your violation of any applicable law.

The sticker images you receive are produced by a generative artificial-intelligence model using your uploaded photo as a reference. Outputs are generated probabilistically and may contain visual artefacts, unintended alterations of your likeness, or stylistic choices you did not request. You are responsible for reviewing Outputs before distributing them.

You may not represent AI-generated Outputs as photographs or as human-authored work in contexts where that distinction is material (journalism, evidence, advertising disclosures, etc.).

The Service itself — including the website, application, prompt templates, visual design, trade marks (Face.it and Face.it), and all supporting content — is owned by FaceyIT FZ-LLC and protected by copyright, trade-mark, and other laws. Nothing in these terms transfers any right in the Service to you except the limited licence to use it as intended.

You may close your account at any time from your account settings. We may suspend or terminate your access to the Service if you breach these terms, if required by law, or if operating your account poses a risk to us or other users. Sections that by their nature should survive termination (ownership, liability, governing law) will survive.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, FaceyIT FZ-LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Outputs will meet your expectations.

To the maximum extent permitted by law, FaceyIT FZ-LLC's total aggregate liability arising out of or in connection with your use of the Service — whether in contract, tort, statute, or otherwise — will not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 50.

In no event will FaceyIT FZ-LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages. Nothing in these terms excludes any liability that cannot be excluded under applicable law.

We may update these terms from time to time. Material changes will be announced at least 14 days in advance by email or in-product notice. Continued use of the Service after the effective date of the updated terms constitutes acceptance.

Governing law. These terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by and construed in accordance with Laws of the United Arab Emirates, without regard to its conflict-of-laws rules.

Binding individual arbitration. Any dispute arising out of or in connection with these terms or your use of the Service — including any question regarding its existence, validity, or termination — will be referred to and finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules in force at the time the notice of arbitration is submitted. The seat of arbitration is Dubai, United Arab Emirates; the tribunal will consist of a single arbitrator; and the language of the arbitration is English. The award is final and binding on the parties and may be enforced in any court of competent jurisdiction, including under the 1958 New York Convention.

Class-action waiver. You and FaceyIT FZ-LLC each agree that any dispute will be brought and resolved on an individual basis only. You waive any right to participate in a class, collective, representative, or consolidated action, and the arbitrator has no authority to consolidate claims or to preside over any form of representative proceeding. If this waiver is held unenforceable as to any particular claim, that claim (and only that claim) will be severed and heard in the competent courts of the United Arab Emirates.

Injunctive-relief carve-out. Notwithstanding the foregoing, either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property rights or to prevent irreparable harm, without first resorting to arbitration.
